PRIVATE LONGEVITY MEMBERSHIP AGREEMENT

This Private Longevity Membership Agreement ("Agreement") is entered into between Medworks Aesthetics ("Medworks") and the individual ("Member") as of the date of enrollment.

By enrolling, Member agrees to the following:

1. PURPOSE OF MEMBERSHIP

Medworks provides a structured longevity-focused membership program offering access to wellness modalities, recovery services, and clinical oversight.

Membership provides access and preferential pricing. It does not guarantee eligibility for any specific medical treatment, prescription, therapy, or outcome.

Membership is not insurance and does not replace primary medical care.

2. MEMBERSHIP OPTIONS

A. Monthly Membership

Monthly membership is billed automatically on a recurring basis.

The monthly membership fee will be charged to the payment method on file on the same calendar date each month (or nearest billing equivalent).

Membership continues until cancelled pursuant to Section 6.

B. Annual Membership (Automatic Renewal)

Annual membership is a twelve (12) month prepaid term.

The full annual membership fee is charged at enrollment.

Annual memberships automatically renew for successive twelve (12) month terms unless cancelled prior to the renewal date.

By selecting Annual Membership, Member expressly agrees that:

• The full annual fee will be charged at the beginning of each renewal term.
• The renewal charge will occur automatically using the payment method on file.
• The renewal rate shall be the then-current annual membership rate.

If Member wishes to avoid renewal, cancellation must be submitted prior to the renewal billing date.

Annual memberships are non-refundable once a term begins.

Cancellation during an annual term prevents renewal but does not result in prorated refund.

3. AUTOMATIC RENEWAL DISCLOSURE & PAYMENT AUTHORIZATION

THIS AGREEMENT CONTAINS AN AUTOMATIC RENEWAL FEATURE.

BY SIGNING BELOW, MEMBER AUTHORIZES MEDWORKS TO CHARGE THE PAYMENT METHOD PROVIDED FOR:

• RECURRING MONTHLY MEMBERSHIP FEES (IF MONTHLY SELECTED)
• FULL ANNUAL MEMBERSHIP FEES UPON EACH 12-MONTH RENEWAL (IF ANNUAL SELECTED)
• ADDITIONAL CREDITS
• APPROVED ADD-ON SERVICES

Membership will continue and automatically renew unless Member provides written notice of cancellation prior to the applicable billing date.

Member is responsible for maintaining accurate payment information.

Failure of payment does not automatically terminate this Agreement and does not relieve Member of outstanding financial obligations.

4. FOUNDING MEMBER RATE (IF APPLICABLE)

If Member enrolls under a Founding rate:

• The Founding rate applies only while membership remains active and uninterrupted.
• Cancellation or lapse forfeits Founding pricing.
• Reinstatement occurs at current market rate.
• Founding status is personal and non-transferable.

Founding Member Capacity

Founding Member enrollment is limited in number and available on a first-come, first-served basis.

Medworks reserves the right to determine when Founding capacity has been reached.

Once closed, Founding pricing shall not be reopened.

5. LONGEVITY CREDITS

Members receive six (6) Longevity Credits per month unless otherwise stated in writing.

Credits:

• Reset monthly
• May roll over for one (1) additional billing cycle
• Are capped at a maximum balance of twelve (12) credits at any time
• Are non-transferable
• Have no cash value
• Cannot be redeemed for cash

Any unused credits beyond the one-month rollover period will expire. The total credit balance may not exceed twelve (12) credits at any time.

Additional credits may be purchased at prevailing member rates.

Credits may only be applied to eligible services as designated by Medworks.

6. CANCELLATION POLICY

Monthly Membership:

Member may cancel prior to the next billing cycle to avoid further charges.

Annual Membership:

Annual prepaid memberships are non-refundable once the term begins.

Cancellation during an annual term prevents renewal but does not result in prorated refund.

No refunds will be issued for:

• Partial billing cycles
• Unused credits
• Missed appointments
• Prepaid annual terms

7. CHARGEBACK & PAYMENT DISPUTES

Member agrees not to initiate a chargeback or payment dispute for properly authorized recurring charges.

If a chargeback is initiated for a valid charge:

• Medworks may suspend membership privileges.
• Member remains responsible for outstanding balances.
• Member agrees to reimburse Medworks for administrative fees and banking penalties associated with improper chargebacks.

This does not apply to unauthorized fraudulent transactions.

8. CLINICAL SERVICES DISCLAIMER

Medical services require separate informed consent.

Membership does not guarantee:

• Prescription approval
• Eligibility for peptide therapy
• Eligibility for hormone optimization
• Eligibility for any specific intervention

All clinical decisions are made at the discretion of licensed providers.

9. NO GUARANTEE OF OUTCOMES

Member acknowledges that:

• Individual results vary.
• No representation or guarantee has been made regarding health, aesthetic, or performance outcomes.
• Membership provides access to services, not guaranteed results.

Member agrees that enrollment is not based on any promise of specific outcome and waives claims based solely on dissatisfaction with results.

10. INDEPENDENT OPERATION

Medworks operates independently as a tenant within the Jonathan Club.

The Jonathan Club does not supervise, control, or assume responsibility for services provided by Medworks.

Member agrees not to hold the Jonathan Club liable for claims arising from services rendered by Medworks.

11. GOVERNING LAW

This Agreement is governed by the laws of the State of California.

All disputes are subject to the separately executed Mutual Binding Arbitration Agreement.

By enrolling, Member:

• Acknowledges the automatic renewal feature
• Authorizes recurring billing
• Confirms understanding of cancellation terms
• Agrees to all provisions
